This edition reflects the 2022 amendments to the Delaware General Corporation Law expanding Section 102(b)(7) to permit exculpation to officers, authorizing boards to delegate authority with respect to the issuance of stock, eliminating the requirement that the stockholder list be available for inspection during a stockholder meeting, clarifying that non-shareholder may execute a written consent to be effective in the future before acquiring stock so long as the individual is a shareholder of record by the record date, and extending statutory appraisal rights to beneficial owners.
