The Eighth Edition updates statutory materials and notes; provides comparative law materials, indicating alternative approaches to common problems in other legal systems.

    The significant changes to this edition include:

    • Arbitration. Use of arbitration has greatly expanded. This has engendered, contractual, legislative and judicial attempts to regulate the arbitration process that are in tension with the Federal Arbitration Act. The area is much in ferment with important decisions from the US Supreme Court, the California Supreme Court and other state and federal courts all coming down and excerpted or referenced in the new edition. Federal legislation in the form of the Dodd-Frank bill also deals with these issues and is referenced.
    • Unconscionability. The attempt to judiically regulate arbitration has had importnat impacts on the unconcionability doctrine, also reflected in the new edition.
    • Restitution. The new edition addresses the American Law Institute's newly promulgated Third Restatement of Restitution. The Third Restatement departs in significant conceptual and doctrinal ways from the treatment of restitution in the Second Restatement of Contracts and the prior Restatements of Restitution. This material involving so-called losing contracts is most directly affected by these changes.
